When these Terms apply.

These Terms & Conditions (“Terms”) govern your use of octastdio.com (the “Site”) and the managed services supplied by Marmara Ticari Hizmetler Turizm ve Dış Ticaret Limited Şirketi, a Turkish Limited Şirketi (Ltd. Şti.) trading as OctaStudio (“OctaStudio,” “we,” “us,” or “our”).

By using the Site, confirming an order via WhatsApp or email, making payment, or instructing us to initiate the Google Top 5 Package or any add-on modules, you agree to these Terms. If an order form, invoice, or bespoke written agreement executed by both parties states different provisions, that document controls for the specific conflict.

For authorized trade business buyers.

The Site and Services are designed exclusively for legitimate commercial enterprises, specifically independent contractors, service professionals, and trade operators. You confirm that you are at least 18 years old and possess full legal authority to bind the trade business purchasing the Services.

If you act on behalf of an enterprise or trade entity, “you” and “Client” include that enterprise. You are responsible for ensuring that all business information, credentials, and directives supplied to us are accurate, authorized, and lawful.

What we build and manage.

OctaStudio delivers the Google Top 5 Package, a fully managed local search optimization system engineered to move your trade company into the top 5 on Google Maps. The core foundation package includes five comprehensive deliverables and two included free bonuses:

• Google Profile Optimization: Full Google Business Profile audit, elimination of conflicting duplicate listings, correction and locking of primary and secondary categories, service radius optimization, and geo-calibration.
• 2 Weekly Google Posts: Exactly 2 custom keyword-optimized Google updates published each week using job photos texted via WhatsApp (under 3 minutes per week).
• 5-Star Review System: Automated post-service SMS funnel dispatching polite, un-gated review invitations that guide satisfied homeowners straight into verified 5-star Google reviews (including an automated gentle 24-hour follow-up).
• Speed Review Replies: Ongoing reputation monitoring with custom, professionally written responses published to all customer reviews rapidly within hours. Unfavorable or policy-violating feedback is immediately flagged for Google dispute and contractor review.
• Weekly Progress Reports & Monthly Radar Reports: Consistent tracking of weekly profile activity, 2 published updates, customer interactions, phone call analytics, and visual 30-day geographic radar heatmap rank tracking across your local service area.

Included Free Bonus 1 — 6X Social Repurposing: Automatic syndication of your 2 weekly Google updates to Facebook, Instagram, and LinkedIn ($169/month standalone value, included at zero extra cost in the core foundation package).

Included Free Bonus 2 — AI SEO Optimization: Structuring and formatting your business profile entity data and schema so AI search engines (Siri, Apple Intelligence, ChatGPT) recommend your business ($97/month standalone value, included at zero extra cost).

Exclusions: Advertising budgets for paid pay-per-click ads or Local Services Ads (LSA), third-party directory listing fees outside contracted modules, national public relations campaigns, and bespoke software development outside confirmed deliverables are excluded unless separately contracted in writing.

Requirements for performance.

The success of the Google Top 5 Package and eligibility for The Movement Standard refund backing depend directly on contractor cooperation. The Client agrees to:

• Submit Job Photos: Text 2–4 clear photos of completed customer jobs once a week (minimum twice per month) via our dedicated WhatsApp client line. This submission takes under 3 minutes per week and provides the authentic photographic proof Google's local algorithm rewards.
• Google Video & Identity Verification: Complete any manual Google Business Profile identity, video, postcard, or document verification required by Google. Because Google strictly prohibits third-party agencies from impersonating business owners or taking identity verification oaths on behalf of contractors, Client retains sole legal and operational responsibility for completing video and identity verifications promptly upon request.
• Avoid Profile Tampering: Refrain from modifying the primary business categories, business name, or physical address directly within the Google Business Profile dashboard without prior consultation with OctaStudio, preventing listing suspension, automated reverification triggers, or category resets.
• Maintain Manager Permissions: Grant and maintain authorized manager access to the Google Business Profile throughout the duration of the engagement.
• Provide Accurate Data: Supply accurate licensing details, insurance credentials (where required), defined service area zip codes, and valid business contact information during onboarding.

Quarterly foundation investment.

The foundation fee is $2,091 prepaid per three-month quarter ($697 per month equivalent under the locked contractor rate, locked for your initial quarter, compared to the $2,997 standard rate). Billing occurs quarterly in advance.

The initial cycle is three consecutive months (90 days) from the date of initial payment. This duration provides the algorithmic runway required for Google’s local search algorithms to evaluate fresh review inflow, process regular updates, and re-index map authority.

Exclusivity per Zip Code: OctaStudio maintains a strict policy of working with only one contractor per trade per zip code to avoid conflicting optimization efforts.

Following the initial three-month quarter, services continue on a quarterly billing basis unless canceled in writing with 14 days notice prior to the start of the next quarter.

Taxes & Cross-Border Gross-Up: All quoted fees are net of any applicable sales, use, value-added (VAT), excise, withholding, or other governmental taxes or banking transfer levies. If any jurisdiction, government authority, or financial institution mandates withholding, deduction, or transaction charges on payments to OctaStudio (Marmara Ticari Hizmetler Turizm ve Dış Ticaret Limited Şirketi), the Client shall gross up the payment such that OctaStudio receives the exact net invoice amount.

Chargebacks & Payment Dispute Remedies: Client expressly agrees not to initiate any credit card chargeback, merchant payment reversal, or financial dispute through their card issuer or payment processor without first submitting a formal written claim and completing the 14-day Movement Standard review procedure set forth in Section 06. Initiating an unauthorized chargeback or payment reversal constitutes a material breach of these Terms, results in immediate service termination and revocation of all Google profile manager configurations, forfeits all refund rights under The Movement Standard, and subjects Client to an administrative chargeback processing fee of $250 USD plus all associated chargeback penalties, attorney fees, and collection expenses incurred by OctaStudio.

Performance backing and refund terms.

We stand behind our work with our own money under The Movement Standard. We do not make speculative guarantees of exact rank positions or specific call volumes, as Google's algorithm is outside any third party's direct control. What we guarantee is real, measurable movement: your profile climbing toward the top 5, steady 5-star reviews accumulating, and more inbound calls.

If your Google Business Profile does not show measurable rank advancement toward the top 5 across your local service grid and steady review accumulation after one full quarter (three consecutive months / 90 days) of active execution, you are eligible for a 100% refund of the $2,091 quarterly foundation fee.

To qualify for a refund under The Movement Standard:

• The Client must have met the cooperation standard by submitting completed job photos (recommended 2–4 photos weekly, minimum twice per month) during the three-month period.
• The Client must have completed any required Google video, identity, or document verifications as specified in Section 04.
• The Client must not have altered primary categories or caused listing suspension through unauthorized Google Business Profile dashboard edits.
• A written refund request must be submitted via email to admin@octastdio.com within 14 calendar days following the completion of the three-month cycle.

Upon issuance of a full refund under The Movement Standard, all managed workflows, category locks, schema markups, and reporting services will be decommissioned.

Optional growth modules.

Clients may augment the Google Top 5 Package with optional add-on modules:

• 6X Social Repurposing (INCLUDED IN CORE PACKAGE · $169 / month value): Automatic syndication of your 2 weekly Google Business Profile project posts to your Facebook, Instagram, and LinkedIn channels to reinforce active web entity presence. Included at no extra charge inside the foundation package ($169/mo standalone value).
• Automated Video Creation ($169 / month): Conversion of job-site before-and-after photos into professional showcase videos published directly to YouTube, Google Business Profile, and connected social media to dominate video search and Google AI Overviews (#2 cited source in AI search). Video assets may be published to Client’s connected YouTube channel or to OctaStudio’s trade showcase network linking back to Client’s verified Google listing. Billed monthly in advance, cancelable with 30 days written notice before the next monthly billing cycle.
• Citation Sync ($194 / month): Continuous synchronization and locking of your business name, address, and phone number (NAP) across 50+ high-authority local business directories, Apple Maps, Bing, and Yelp to solidify address trust. Billed monthly in advance, cancelable with 30 days written notice before the next monthly billing cycle. De-Syncing Policy: Upon cancellation or non-renewal of Citation Sync, active API data locks and automated distribution cease. While published listings are not intentionally deleted by OctaStudio, external directory publishers may mark listings as unmanaged, accept crowd-sourced or automated third-party edits, or remove priority placement over time. OctaStudio has no obligation to maintain or update third-party directory listings following subscription cancellation.
• Premium Landing Page Build ($2,499 one-time): Custom mobile-first contractor landing page engineered specifically to turn site visitors into phone calls, featuring tap-to-call buttons and live Google review feeds. Paid upfront, includes turnkey design, copywriting, deployment, and 30 calendar days of post-launch adjustments and bug fixes. Following the initial 30-day post-launch window, landing page delivery is deemed accepted and complete; ongoing domain renewals, hosting administration, and subsequent content or layout updates remain Client’s sole responsibility unless separately arranged under an ongoing maintenance agreement.

Local search algorithms & warranty boundaries.

Search Realities: Local search positions are governed by Google’s proprietary algorithms, competitor review velocity, homeowner geographic search location, and ongoing algorithm updates. While OctaStudio applies proven optimization techniques and backs performance through The Movement Standard refund policy, we do not make speculative promises regarding specific homeowner inbound call counts, guaranteed #1 search placements, or closed contract revenue figures.

AS-IS and AS-AVAILABLE Warranty Disclaimer: Except as expressly set forth in The Movement Standard refund policy (Section 06), the Services, Site, deliverables, software funnels, reports, and all related materials are provided strictly on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by applicable law, OctaStudio (Marmara Ticari Hizmetler Turizm ve Dış Ticaret Limited Şirketi) expressly disclaims all warranties, representations, and conditions of any kind, whether express, statutory, or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, non-infringement, and any warranties arising out of course of dealing, performance, or trade usage. OctaStudio does not warrant that the Services will meet Client’s commercial expectations, operate without interruption or error, or that Google, Apple, or other third-party algorithms will not modify ranking parameters.

Assistive AI tools and content accuracy.

Assistive AI Implementation: OctaStudio leverages proprietary workflows and advanced assistive artificial intelligence technologies to analyze local search ranking signals, assist in drafting keyword-optimized weekly Google profile updates, synthesize descriptive project highlights from job-site photos, and draft rapid, context-aware rapid, keyword-rich customer review responses.

Client Duty to Review Factual Details: While OctaStudio conducts professional editorial oversight and quality checks on all published content, Client acknowledges that AI drafting tools generate copy based on contractor-provided inputs and public industry data. Client retains the affirmative duty and ultimate responsibility to review published Google updates, trade descriptions, service offerings, and review replies for factual accuracy, trade licensing compliance, and technical correctness. Client must promptly notify OctaStudio via WhatsApp or email if any published text requires factual correction.

Disclaimer of External AI Search Engine Citation Algorithms: Client acknowledges that third-party AI search engines (including Siri, Apple Intelligence, OpenAI ChatGPT, Google Gemini, and Google AI Overviews) utilize non-deterministic machine learning models and proprietary web-scraping algorithms. While OctaStudio formats business entity data, geotagging, and schema markups according to the highest industry standards to maximize AI citation probability, OctaStudio does not control external AI models and makes no guarantee that any specific AI search engine will cite or recommend Client’s business above competitors.

Lawful homeowner outreach, review ethics & telecommunications.

FTC 16 CFR Part 465 (Consumer Reviews) & Anti-Gating: OctaStudio strictly adheres to the Federal Trade Commission’s Trade Regulation Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465). The 5-Star Review System operates strictly to collect honest, un-gated, un-incentivized reviews from genuine customers. Client confirms and covenants that all homeowner contact numbers submitted belong to bona fide customers who completed an authentic trade service transaction with Client. OctaStudio strictly prohibits, disclaims, and does not engage in “review gating” (routing negative feedback to private forms while filtering positive reviews to public profiles), paying for reviews, or creating or posting fake consumer reviews. All review invitations invite truthful, unbiased feedback.

Solicitation Disclaimer for Prohibited Platforms (e.g., Yelp): Client acknowledges that certain third-party review platforms (including Yelp) strictly prohibit business owners from soliciting or prompting reviews from customers in any manner. OctaStudio directs review invitations exclusively to platforms that permit neutral, lawful review solicitation (primarily Google Business Profile). OctaStudio expressly disclaims soliciting, prompting, or incentivizing reviews on Yelp or any other platform whose terms of service prohibit review solicitation.

TCPA & A2P 10DLC Carrier Standards & Contractor Consent Warranty: Client warrants and covenants that prior to providing homeowner names and telephone numbers to OctaStudio for review SMS outreach, Client has obtained all necessary “Prior Express Written Consent” or prior express consent as required by applicable law to send automated service-related text messages, in full compliance with the Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227), state telemarketing and privacy laws, and cellular carrier A2P 10DLC registration guidelines. Client assumes 100% sole responsibility and liability for customer consent compliance and agrees to defend and indemnify OctaStudio against any statutory TCPA claims ($500 to $1,500 per message) or carrier penalties resulting from Client-provided contacts.

Homeowner Opt-Out: Homeowners may opt out of automated review invitations at any time by replying STOP, or receive help by replying HELP. Our data handling practices are detailed in our Privacy Policy.

Statutory CCPA/CPRA Service Provider Certification: OctaStudio acts strictly as a Service Provider regarding customer review contacts, processing data solely to fulfill authorized review dispatches on Client’s behalf.

Ownership of assets and portfolio showcase.

Client Assets: The Client retains all ownership rights in job photos, company logos, trade names, registered trademarks, and operational business data supplied to OctaStudio. Client grants OctaStudio a non-exclusive, royalty-free, worldwide license to use, crop, format, and display such assets solely to perform the Services.

Google Profile & Reviews: The Client maintains sole ownership of their Google Business Profile and all customer reviews accumulated. OctaStudio operates strictly as an authorized manager during the service term.

OctaStudio IP: OctaStudio retains all intellectual property rights, copyrights, and trade secrets in its proprietary review dispatch funnels, reporting software, audit templates, schema code architectures, optimization algorithms, and operational playbooks.

Portfolio & Showcase Rights: OctaStudio reserves the limited right to reference Client’s trade business name, general geographic market, and publicly visible map ranking advancements in case studies, radar report showcases, and marketing materials, provided no confidential customer information or sensitive financial metrics are disclosed, unless Client expressly opts out in writing prior to service kickoff.

External dependencies and platform volatility.

The Services rely upon integrations with third-party platforms including Google Business Profile, Google Maps, telecommunication SMS carrier networks, WhatsApp, external directory publishers, and social distribution networks (Meta/Facebook, Instagram, LinkedIn, YouTube).

OctaStudio is not responsible for service outages, global core search algorithm updates, carrier message filtering or delivery delays, API deprecations, or policy modifications imposed by third-party platforms. OctaStudio will exercise commercially reasonable efforts to adapt system configurations to preserve optimization results when external platform rules change.

Ending the agreement and service wind-down.

Quarterly Notice: Following the completion of the initial three-month cycle, either party may terminate ongoing services by delivering written notice via email to admin@octastdio.com at least 14 calendar days prior to the start of the next quarterly billing period.

Immediate Termination for Cause: OctaStudio reserves the right to suspend or terminate services immediately without notice or refund if: (a) payment is past due; (b) Client initiates an unauthorized chargeback or payment dispute; (c) required Google Business Profile manager access is revoked or withheld; (d) Client breaches these Terms, including Section 04, Section 05, or Section 10; or (e) Client engages in deceptive trade practices, unlicensed operations, or submission of fraudulent customer contacts.

Effect of Termination: Upon termination, OctaStudio will immediately decommission automated review funnels, cancel scheduled weekly updates, stop speed review monitoring, and transition profile management back to Client. All fees paid are non-refundable except as expressly provided under The Movement Standard (Section 06).

Mutual defense and client indemnification.

The Client agrees to defend, indemnify, and hold harmless Marmara Ticari Hizmetler Turizm ve Dış Ticaret Limited Şirketi (trading as OctaStudio), its parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, agents, and successors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, penalties, fines, and expenses (including reasonable attorneys’ fees, court costs, and settlement sums) arising out of or related to:

1. Contractor Content & Intellectual Property: Any job photos, graphics, trade logos, business descriptions, or media supplied by Client that infringe, misappropriate, or violate any copyright, trademark, patent, trade secret, right of privacy, or publicity right of any third party (including homeowner claims regarding unauthorized job-site photography);
2. TCPA & Telecommunications Violations: Any alleged or actual violation of the Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227), CAN-SPAM Act, state telemarketing regulations, or cellular carrier A2P 10DLC rules arising from homeowner phone numbers provided by Client without verifiable prior express written consent;
3. Regulatory, Licensing & Consumer Claims: Any claim of deceptive advertising, trade licensing non-compliance, defective workmanship, consumer fraud, or regulatory enforcement action (including FTC inquiries) stemming from Client’s actual contracting business, representations, or customer disputes;
4. Breach of Agreement: Any material breach by Client of these Terms, including warranties concerning client cooperation, payment obligations, or prohibited chargeback actions.

OctaStudio will promptly notify Client of any third-party claim subject to indemnification. Client shall have the right to control the defense with legal counsel reasonably acceptable to OctaStudio, provided Client does not settle any claim that imposes financial or injunctive liability on OctaStudio without OctaStudio’s prior written consent.

Reasonable commercial boundaries.

Consequential Damages Waiver: To the maximum extent permitted by applicable law, in no event shall OctaStudio (Marmara Ticari Hizmetler Turizm ve Dış Ticaret Limited Şirketi), its directors, officers, employees, or agents be liable to Client or any third party for any indirect, consequential, incidental, special, punitive, or exemplary damages, including lost profits, lost sales, lost trade revenue, loss of data, loss of goodwill, or business interruption, arising out of or in connection with the Services, the Site, local search algorithm updates, or third-party platform actions, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if advised of the possibility of such damages.

Aggregate Liability Cap: To the maximum extent permitted by applicable law, OctaStudio’s total aggregate liability arising out of or related to these Terms or the Services, under all causes of action, shall be strictly limited to the total fees actually paid by the Client to OctaStudio during the three (3) months immediately preceding the event giving rise to liability (capped at $2,091 USD).

Jurisdiction, dispute resolution & class action waiver.

Governing Law: These Terms and all disputes arising out of or relating to the commercial relationship shall be governed by and construed in accordance with the substantive laws of the Republic of Türkiye, without regard to conflict-of-law principles or the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Mandatory Good-Faith Negotiation: Prior to initiating formal legal proceedings, the parties agree to engage in direct, good-faith negotiation for at least thirty (30) calendar days following written notification of the dispute to admin@octastdio.com.

Exclusive Jurisdiction: Any unresolved dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be submitted to the exclusive jurisdiction of the competent Central (Çağlayan) Courts and Enforcement Directorates of Istanbul, Republic of Türkiye.

One-Year Claim Limitation: To the fullest extent permitted by applicable law, any legal claim or cause of action arising out of or related to these Terms or the Services must be commenced within one (1) year after the cause of action accrued; otherwise, such claim is permanently barred.

Mutual Class Action Waiver: Client and OctaStudio agree that any dispute resolution proceedings will be conducted solely on an individual basis and not in a class, consolidated, collective, or representative action. Neither Client nor OctaStudio shall participate as a class representative, class member, or private attorney general in any claim or lawsuit against the other party.

Official inquiries and updates.

We may update these Terms from time to time to reflect operational, regulatory, or legal adjustments. When updates are published, the revised version will be posted on this page with an updated “Last updated” timestamp. Continued use of the Services following notice of changes constitutes acceptance of the updated Terms.
